THESE TERMS OF SERVICE (“TERMS”) GOVERN YOUR ACCESS TO AND USE OF THE STOCKHIVE APPLICATION (“APP”).
PLEASE READ THESE TERMS CAREFULLY AND CONTACT US IF YOU HAVE ANY QUESTIONS. BY ACCESSING OR USING
THE APP, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY.
StockHive Intraday is made available to you by StockHive, a product of Hive Technologies Inc. These terms constitute a
legal agreement between you (“you”) and StockHive (“we”, “our”, “us”).

No Financial Advice
StockHive is not engaged in the business of investment advice, merchant banking, investment banking or any brokerage
service. The information, insights and portfolios available on the App are outputs of mathematical models generated by
our AI and are drawn and made available from publicly available historical data, including financial data. Any advice
contained on the App is general advice only and we do not tell you whether any investment is suited to your personal
circumstances, objectives, risk appetite or financial situation. Before making any investment decision, you should
consider whether it is appropriate for your situation and seek professional advice. Past performance is no guarantee of
future returns.

Intraday Trading
Intraday trading is high risk in nature, and you are responsible for ensuring you are familiar with the risks involved,
including the use of margin / leverage. StockHive provides general guidance on the intraday portfolio functionality
throughout the App, including definitions, but it is solely your responsibility to define appropriate investment amounts and
the level of risk you are comfortable taking. StockHive is responsible for passing your instructions to your brokerage
account for execution. All execution activities happen through your brokerage account.

Order Management
By using the StockHive Intraday service you are responsible for the setting of relevant stop losses. In addition to the initial
purchase or sell order, stop loss orders will also be passed to your brokerage account by StockHive. StockHive provides
suggestions of appropriate stop loss limits based on the output of our AI models, however you are free to configure these
to meet your needs. Once you have confirmed the relevant limits StockHive will pass these instructions to your brokerage
account.

All orders will be placed as market orders for the purposes of execution, which may see some deviation from the
proposed price shown at the time of execution.

App usage
We grant you a limited, non-exclusive and revocable licence to use the App. By using the App, you acknowledge and agree that:
• you are at least 18 years old;
• the App provides neither investment advice nor personal recommendations.
and
• you have read, understood and accepted these Terms and our Privacy Policy.
Payment
You can choose to access the Intraday Portfolios for a fee, payable on a one-off basis. Payments are made online and are
handled by our payment gateway partner.
We reserve the right to change our pricing at any time and do not offer refunds.
We reserve the right to cancel or refuse access to our App for any user.

Restrictions
You agree that you will: not copy the App (including any portfolios); not disassemble, de-compile, reverse engineer or
create derivative works based on the whole or any part of the App; not use the App for any unlawful purpose; not infringe
our intellectual property rights or sell, licence or transfer the App to other parties; and treat your account details as
confidential and not disclose them to any third party.
Intellectual Property
All intellectual property rights of the portfolios and related information on the App belong to and remain with StockHive.
The App is protected by copyright and other intellectual property laws. You agree not to use any of our trademarks,
service marks, trade names, logos or other identifiers without our prior written consent.

Disclaimer
The App is provided on an “as is” and “as available” basis without any representations or warranties of any kind, whether
express, implied or statutory. We do not guarantee that the App will be error-free or uninterrupted, and we make no
warranties or representations about the accuracy or completeness of the content available on the App or the portfolios
generated by our AI models.

Limitation of Liability
To the maximum extent permitted by law, we exclude all liability to you for any direct, indirect, special, consequential or
punitive damages arising out of or in connection with your use of the App or the portfolios generated by our AI models,
including but not limited to any loss of profit, loss of revenue, loss of business, loss of data or loss of reputation, whether
or not such damages were foreseeable or we were advised of the possibility of such damages.

Indemnity
You agree to indemnify and hold harmless StockHive, its officers, directors, employees, agents, licensors and suppliers
from and against any claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and
expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the App, any breach by
you of these Terms or any violation of any rights of a third party.

Termination
We reserve the right to terminate or suspend your access to the App at any time without notice, for any reason or no
reason, including if we believe that you have violated these Terms or any applicable law, rule or regulation.
Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws
of Canada applicable therein, without regard to conflict of laws principles. You agree to submit to the exclusive
jurisdiction of the courts located in Toronto, Ontario, Canada for any dispute arising out of or relating to these Terms or
your use of the App.

Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If we make any material
changes, we will provide you with notice through the App or by other means. Your continued use of the App after any such
changes constitutes your acceptance of the new Terms.
